     •     Represented Arvida Mid-Atlantic Homes, Inc. as in-house Regional Counsel in negotiation and documentation of real estate acquisitions in Maryland, Virginia, Georgia, and North and South Carolina, including due diligence relating to title and environmental issues.

     •     Represented Kyotaru Co., Ltd. in acquisition from Paragon Steakhouse Restaurants, Inc., a San Diego based holding company, of 39 restaurants located in Arizona, California, Illinois, Michigan, Ohio, Virginia, Wisconsin and Indiana, originally developed by subsidiary of Ralston Purina Company; performed due diligence review of restaurant leases and sites, including environmental review.

     •     Negotiated and drafted agreement for $44 million acquisition of U. S. Grant Hotel in San Diego from Home Fed Bank, including assessment of bank's rights to purchase hotel as beneficiary under bankruptcy reorganization plan; structured year end closing to satisfy bank's financial reporting requirements.

     •     Drafted agreement for purchase of $33 million Marriott Residence Inn in Torrance on behalf of Japanese investor, analyzing capital improvement and operating requirements imposed by operator.

     •     Represented major industrial corporation in sale of regional shopping center in Pittsburgh, Pennsylvania, to California developer, including documentation of stock transfer in controlling entity to avoid transfer tax liability.

     •     Negotiated real estate purchases for West Virginia television station, purchase of Mack Truck facilities in Indianapolis and Terre Haute, Indiana, sale of hospital building to developer for conversion to low-income housing, and sale of warehouse facility by industrial corporation to Pittsburgh architectural firm.

     •     Conducted review of land use and development issues related to acquisition of Silverado Country Club and produced due diligence report, enabling Japanese client to proceed with acquisition.

     •     Investigated Arizona golf course and resort sites on behalf of Japanese golf course development company; negotiated letter of intent and purchase agreement for Arrowhead Ranch/Legends Golf Course with bankruptcy liquidating trustee, and letter of intent for Superstition Springs Golf Club with Resolution Trust Corporation, as successor to Western Savings and Loan Association, F. A.

     •     Performed due diligence review of Arrowhead Ranch/Legends Golf Course, including environmental, title and economic feasibility, identifying extraordinary risks associated with water availability and completion of infrastructure.
